The Remuneration Committee consists of three Non-Executive Board Members, out of which two are Independent. Its meetings take place at the invitation of its Chairman, as deemed necessary, and at least once per year.

The Committee has the following responsibilities:

  • Submitting to the Board of Directors proposals regarding the executives’ remuneration policy, including fixed payment and pension arrangements. Performance-linked schemes suggestions are accompanied by recommendations on goals and evaluation criteria, in order to be aligned with the long-term Company interests.
  • Submitting proposals to the Board of Directors regarding the appropriate contract forms.
  • Assisting the Board of Directors in overseeing the compliance process of the compensation matters and the remuneration policy.
